I. Call to Order
The 2012 Executive Board Meeting of the Alpha Alpha State Organization of the Delta Kappa Gamma Society International was called to order by State President, Louann Shrader, Omega Chapter, on Friday, June 8, 2012 at 8:31 p.m.
II. Welcome and Introductions
President Louann introduced the following members seated at the head table: Kay Stuart, Pi, Alpha Alpha State First Vice President; Patricia Shedlock, Nu, Alpha Alpha State Recording Secretary; Barbara Gasperini, Alpha Upsilon, Alpha Alpha State Corresponding Secretary; Linda O’Connor, Omega, Alpha Alpha State Treasurer; Kathleen Kuzmiak, Chi, Alpha Alpha State Finance Committee Chairman; Carolyn Sutton, Alpha Upsilon, Ad Hoc Personnel Committee Chairman; Pat Crouse, Kappa, Alpha Alpha State Parliamentarian; Dr. Lyn Schmid, Chi, Northeast Regional Director; Carolyn Pittman, Arkansas, International Member at Large; Tracey Dusch, Psi,Alpha Alpha State Second Vice President; Susan Stamm, Lambda, Immediate Alpha Alpha Past State President.
III. Rules of the Convention
Alpha Alpha State Parliamentarian, Pat Crouse, Kappa, reviewed the Rules for the Convention, Executive Board Meeting as found on page nine (9) of the Convention program booklet.
IV. Roll Call of Chapters
Patricia Shedlock , Nu Chapter and Alpha Alpha State Recording Secretary, conducted the Roll Call of Chapters. Forty six (46) out of sixty (60) chapters were present for the Executive Board meeting.
V. Review of the Minutes
Patricia Shedlock, Alpha Alpha State Recording Secretary, presented the minutes of the Executive Board Meeting of the 2011 State Convention held on June 10, 2011. Minutes were emailed to members of the Executive Board and available on the website. Copies were also available at the meeting.
Hearing no objections to the minutes, President Louann stated that the minutes will be filed.
The committee to approve the minutes for this session and all 2012 Convention meeting sessions include: Jeannette Thomas, Beta Theta, Cindy Reynolds, Alpha Rho, and Mary Van Lieu, Delta.
Barbara Gasperini, Alpha Upsilon, and Alpha Alpha State Corresponding Secretary, read a letter from the Delta Kappa Gamma Educational Foundation notifying President Louann that Dr. Marianne Bartley, Nu, received a Cornetet Professional Development Award in the amount of $1,800.
A letter was also read informing President Louann that Dr. Linda Koharchik, Alpha Upsilon, was awarded a Cornetet Professional Development Award in the amount of $1,400.
Thank you notes for money given to the Scholarship Fund in memory of Margaret Y. Krider, Gamma Chapter, Ann Hildebrand, Omega Chapter and Geraldine M. Lesher, Kappa Chapter were read.
Barbara asked members to update information for the state directory. The 2012-2014 State Directory will be completed this summer and sent by email.
VII. Report of the Treasurer
Linda O’Connor, Omega, Alpha Alpha State Treasurer, reported on the financial status of the State Organization from a four page detailed report. Linda’s all inclusive report of income and expenses is attached. Balances in the following funds were listed: the Scholarship Fund, the Serendipity Fund, the Permanent Fund, and the Visionary Fund. Linda stated that $21,000 in scholarships and grants will be given on Sunday morning. This amount includes the $900 that will be dispersed through the Marian S. Roebling Scholarship. A listing of contributions to International Funds was part of the report. The listing included contributions to World Fellowship, the Scholarship Fund, the Emergency Fund, the Educational Foundation, the Golden Gift Fund, Schools for Africa, the State Scholarship Fund and the State Visionary Fund.
VIII. Report of the Finance Committee
Kathy Kuzmiak, Chi and Alpha Alpha State Finance Committee Chairman presented the proposed 2012-2013 budget.
Kathy stated that Alpha Alpha State is in a much better financial state this year due to the increase in dues and to gaining 121 new members. Diligent spending on the part of officers and chairmen has aided in increased funds in the treasury. In addition, the Convention Committee and Scholarship Committee becoming self sustaining committees has also aided in increased funds in the treasury.
The proposed budget will be presented for approval at the Sunday morning Second General Session.
IX. Report of the Membership Committee
Tracey Dusch, Psi, Alpha Alpha State Second Vice President and Chairman of the Membership/Expansion Committee read a prepared statement regarding the merger of Alpha Alpha Chapter into Delta Chapter.
“Though at this time our rules do not speak specifically to merger and merger is not mentioned in the Constitution, and since the process is not specifically prohibited by the Constitution, procedures in the parliamentary authority are applicable where they do not conflict with any of the Society’s governing rules. Therefore, merging Chapters are part of Robert’s Rules of Order Newly Revised 10th Edition and so we can stand on Robert’s Rules.”
Tracey explained there are two types of merger: (1) one chapter is absorbed into another chapter and the receiving chapter’s bylaws govern or (2) two chapters discontinue their separate existence to come together as a new chapter with new bylaws being adopted. The merger of Alpha Alpha Chapter into Delta Chapter, both of which are located in the Lehigh Valley, gives Delta more members and increases their financial assets. The merger provides opportunities afforded by membership that were lacking in a separate aging chapter. The community will be able to reap the benefits of a strong chapter of the Delta Kappa Gamma Society International. Choosing merger over dissolution provides a win-win situation. Alpha Alpha State is losing a chapter name but is losing fewer members than it would through dissolution.
As the motion to merge the two chapters is a recommendation from the Membership Committee there is no need for a second.
The motion to merge Alpha Alpha Chapter into Delta Chapter passed successfully.
X. Report of the Personnel Committee
Carolyn Sutton, Alpha Upsilon, Chairman of the Ad Hoc Personnel Committee announced the hiring of Cindy Devonshire, Alpha Zeta, as the new Alpha Alpha State Webmaster. The appointment of the new webmaster with an annual stipend of $1000 was approved.
President Louann thanked Linda Nickerson, Alpha Zeta and Cindy Devonshire, Alpha Zeta, for redesigning the website and working cooperatively to make the web site more user - friendly. The new website address is www.alphaalphapa.com
President Louann also thanked Kate Chronister, Omega, and Communications Chairman for designing the beautiful new state brochure.
XI . Announcements by the President
President Louann announced the following reports will be given at the General Session on Saturday: treasurer’s report, finance committee report, strategic planning update, and a summary report on the creative arts retreat. The 75th Anniversary Ad Hoc Committee and the Northeast Regional Ad Hoc Committee will report on tasks completed and ask that both committees be dissolved.
Announcements for the Eastern and Western Fall 2012 Area Conferences and an invitation to the Purposeful Seminar will be given at the General Session on Saturday morning.
XII .New Business
President Louann called for new business. Hearing none she moved to announcements.
President Louann announced that there are Guidelines booklets for Presidents, Membership and Communications Chairmen available.
The President of Alpha Alpha Chapter, Suzanne Mauser, expressed her gratitude to Tracey Dusch and Louann Shrader for helping to make the merger transition into Delta Chapter easy and to the members of Delta Chapter for so graciously welcoming their new sisters.
President Louann adjourned the meeting of the Executive Board of the 2012 Alpha Alpha State Convention at 9:10 p.m.
